Golf Course in the Scottish Highlands - Club Constitution

CONSTITUTION OF CARRBRIDGE GOLF CLUB
FORMED 1980 ADOPTED 1994

1. NAME AND OBJECTS OF THE CLUB
a. Name: The Club shall be called Carrbridge Golf Club 1980.
b. Object: The object of the Club shall be to provide facilities in a non-discriminatory way for members and visitors to play golf.
c. The Club shall be a non-profit making body, dedicated to the provision of facilities for playing golf and suitable clubhouse facilities for its members and guests. All profits and surpluses generated by the Club shall be devoted to the maintenance or improvement of the Club facilities and may not at any time be distributed to its members other than in the event of the Club winding up or dissolution. 2. MEMBERSHIP OF THE CLUB
a. There will be no discrimination for any reason against any existing or potential member.
b. The membership of the Club shall consist of Ordinary, Senior, Junior, Honorary, Youth and Student Members.
c. Ordinary Members shall be those members who are 16 years or over at the date of the AGM, and who have paid full adult membership subscriptions.
d. Senior Members shall be those members who, having reached 60 years of age and, having been members of the club for 5 years, may apply in writing to the Administrator for reduced subscriptions.
e. Junior Members shall be those members under the age of 16 years at the AGM, and shall pay reduced subscriptions. A junior member may not vote at any meeting.
f. Honorary Membership shall be awarded to a person who, in the opinion of the membership has rendered exceptional service to the Club, or to the game of golf, or by reason of his or her renown in the golfing world. An Honorary Member may not vote at any meeting.
g. Youth members shall be those members between 16 and 18 years of age at the AGM and shall pay reduced subscriptions. A Youth Member may not vote at any meeting. (Amended 22.2.01)
h. Student Members shall be those members in full-time education between 19 and 22 years of age at the AGM and they shall pay reduced subscriptions. Student members shall have no voting rights. (Amended 28.2.02)
3. ADMISSION OF MEMBERS
All decisions about the acceptance of members, with the exception of Honorary Members, shall rest with the Committee. Applicants for admission as Members shall be proposed by one member and seconded by another. One of these shall have been a member for at least one year and shall be personally acquainted with the applicant. All applications shall be made on a printed form, obtainable from the Club Administrator, and shall include the full name and permanent address of the applicant. Membership of the Club shall be open to all members of the community and completed application forms will be approved at the monthly meeting of the full committee, by a simple majority vote.
4. MANAGEMENT OF THE CLUB
a. The Committee. The Committee shall comprise the President, the Vice-President, the Captain, the Lady Captain and 8 other members, who shall be elected from Ordinary and Senior Members only. (Amended 27.2.03)
b. Club Administrator. A Club Administrator shall be appointed by the committee and shall be a salaried employee of the club. The administrator will perform all the administration duties as directed by the committee. He/she will work together with the Captain to promote the club. He/she will have no voting rights. (Amended 27.2.03)
c. Membership of the Committee. Excepting the Lady Captain, the Committee shall usually be selected for their terms of office at the AGM, but may be elected at the EGM. Committee members elected at the EGM shall only remain in post until the next AGM. In the event of the number of candidates being greater than the number of vacant posts, an election shall take place at the General Meeting. It is not necessary for candidates to be present at the meeting provided that they have indicated their willingness to accept nomination to their proposer or the committee in writing.
d. Terms of Office. The President and Vice President shall remain in post for 3 years. The Captain and Lady Captain shall remain in post for 2 years. Other Committee members shall remain in post for 3 years, 2 retiring annually in rotation. Any member of the Committee, whose term of office is complete, may stand for re-election.
e. Vacancies. Any vacancies occurring in the Committee during the year may be filled by the existing committee. Such appointments shall cease at the date of the next AGM, and any members co-opted shall be eligible for election at that time.
f. Powers of the Committee. The committee shall manage all affairs connected with the Club. In particular the committee shall have the power to:
(1) Make rules and regulations for the general comfort, convenience and accommodation of members and visitors. All regulations and local rules made by the committee shall be binding on every member until altered by the committee or set aside by a General Meeting. The Committee shall post on the notice board at the Clubhouse any regulations or local rules made by them.
(2) Call Special Meetings.
(3) Appoint Sub-Committees.
(4) Appoint members to serve on the Committee or any Sub-Committee in an advisory non-voting short-term capacity. Any appointments so made shall cease before the date of the next AGM.
(5) Grant to individuals and organisations the courtesy of the course.
(6) Ensure that correct books and accounts are kept, showing the financial affairs of the club and present these to the AGM.
(7) Ensure that all cheques, drawn on the bank account of the Club, are signed by the Club Administrator and other authorised persons.
(8) Employ and manage such green keeping staff, clubhouse staff and club administrator as are necessary to optimise playing facilities.
THE LIST ABOVE IS NOT EXHAUSTIVE.
g) Borrowing Powers. The Committee may borrow money on behalf of the Club and may vary such loans to obtain new or additional loans subject to a limit set from time to time at the AGM. The limit shall not be exceeded without first obtaining authority to do so from a Special Meeting called after due notice to the membership.
h) Restrictions. No office bearer, committee member, Administrator or manager shall:
a. Rent or lease land to the Club
b. Be a relative, business partner or person acting under the direction of any person leasing or renting land to the Club
c. Be a relative, business partner or person acting under the direction of any person associated with the Club who receives emoluments based on the turnover of any aspect of Club activity. (Amended 28.2.00)
5. MEETINGS OF THE CLUB
a. Committee Meetings. The Committee shall at intervals hold meetings for the management of all competent Club business.
b. Chair of Meetings. All general Meetings of the Club and of the Committee shall be chaired by the President, and in his or her absence, the Vice-President. In the absence of both the Committee shall elect the chair from among its number.
c. Casting Vote. At all general Meetings of the Club, the Committee and Sub-Committee the chair shall have a deliberative, and, in the case of equality, a casting vote.
d. Annual General Meeting. The Annual General Meeting of the Club shall take place during February. A certified statement of accounts shall be submitted to this meeting, the Committee shall be elected and any other competent business shall be transacted. Members shall be notified at least 3 weeks in advance of the meeting by general advertisement and personal intimation, and such personal intimation shall include the following:
1. Statement of Accounts
2. Minutes of the previous year’s meeting
3. Agenda
Members wishing business to be included on the published agenda must notify this in writing to the Committee not later than 31st December in the preceding year.
Business not intimated under any of the above terms may not be considered competent.
e. Extraordinary General Meetings. The Committee may call an Extraordinary General Meeting at any time. It shall also do so on receipt of a written submission to the club administrator, signed by not less than 5% of the membership (excepting Honorary, Youth, Student and Junior members), and containing the terms of the motions to be considered. An Extraordinary General Meeting shall be held within 4 weeks from the date of receipt of such a submission. Notice of such a meeting shall be given to the voting membership by general advertisement and personal intimation not less than 14 days in advance of such a meeting. Such notice shall state the nature of the business to be transacted. Business not intimated under either of the above terms shall not be considered competent and will not be discussed at the meeting.
f. Quorum Club. At an Annual General Meeting or Extraordinary General Meeting, 20 shall form a quorum. If no such quorum is achieved, the existing Committee has the right to make such decisions as are necessary to enable the Club to function.
g. Quorum Committee. At all meetings of the Committee, 5 shall form a quorum. If no quorum is achieved the meeting shall be rescheduled for another time.
h. Voting. At an Annual General Meeting or Extraordinary Meeting only members entitled to may vote. All decisions will be by simple majority of those voting, except changes to the Constitution which will require the agreement of two thirds of the members present. Voting will be by show of hands or secret written ballot as decided by a show of hands of those present. In all voting, 2 members (excluding Committee members) shall be asked to count votes. In a tied vote there will be a second vote, and if still tied, the chair shall have a decisive casting vote.
6. ENTRY MONEY AND SUBSCRIPTIONS
a. Entry Money and Subscriptions. The Entry Money and Subscriptions for the membership shall be fixed for the following year by the membership at the AGM or EGM of the Club.
b. Payment of Subscriptions. All members shall be notified annually in writing that the subscriptions are due and payable before 1st April in that year. No fee shall be accepted after that date. (Amended 19.2.04)
c. Lapsed Membership. Any member who has not paid his or her Subscription by the due date shall no longer be considered to be a member of the Club, and shall not be readmitted except by application to become a new member.
d. Suspension of membership. Any member may, following written submission to the Committee and at the Committee’s discretion, suspend his or her membership for a period not exceeding 3 years.
e. Payment by New Members. Upon acceptance of a new member, the Administrator shall notify that person and request payment of the entry money and the subscription for the year then current. If this is not paid by the due date stated in their intimation, that person will be considered as having declined to become a member. Members on admission must pay entry monies and subscriptions before enjoying the privileges of the Club.
7. THE COURSE
a. Time for Play. The Course will be open for play on 7 days per week, weather and course conditions permitting, from such time and under such conditions for members and visitors as may be decided by the Committee or at a General Meeting.
b. Competitions. The Committee shall have the power to reserve the course at stated times for competitions and matches. If no starting sheet is in operation, players in competition will have priority over private play.
c. Guests. Six times annually each Ordinary and Senior Member shall be allowed to accompany his or her Guest on the course for half of the annually set fee. Each member shall be issued with a Visitors Card, and it is the responsibility of that member to present this when introducing a guest.
d. Dogs. Dogs shall not be permitted on the course.
8. SUGGESTIONS OR COMPLAINTS
All suggestions or complaints shall be made to the committee, preferably in writing.
9. SUSPENSION AND EXPULSION
Upon being satisfied that any member has acted in defiance of any of the Rules of the Club, has made him or herself offensive, or has endangered the interest of the Club, the Committee shall have the power, after discussion with all relevant parties, to suspend or expel such member or members on a vote of two thirds of its number. Any member so suspended or expelled shall have the right of appeal in writing and/or to address a meeting of the Committee. In the event of expulsion, the Club shall not be responsible for repayment of any part of that member’s subscription, nor for any other claims involved.
10. RULES OF THE GAME
The rules of the game shall be those of the Royal and Ancient Golf Club of St. Andrews as amended by them from time to time, with such local rules as the Committee of Carrbridge Golf Club 1980 shall set.
11. DISSOLUTION
Upon the agreement of two thirds of the members present, the Club may only be dissolved at a General Meeting where dissolution of the Club is a stated item on the published agenda for that meeting. Any remaining assets, after payment of the Club debt, liabilities and costs incurred in the dissolution shall be applied to an approved sporting body or charitable purpose, to comply with CASC legislation.
12. ALTERATION OF CONSTITUTION
The foregoing Constitution shall not be altered or added to except at a General Meeting of the Club. Notice of any motion for alteration or addition to be considered at the AGM must be lodged with the Club Administrator by 31st December in the preceding year, and must contain details of the alteration or additions proposed. No motion shall take effect unless agreed by a two-thirds majority of the members present.
13. DATE OF ADOPTION
The Constitution was adopted at the AGM of Carrbridge Golf Club held on 28th February 1994 and amendments incorporated at an EGM on 1st September 2004.

Addendum to Constitution of Carrbridge Golf Club (1980).

Within the club there shall be permitted a Ladies Section, a Seniors Section (open to all members 50 years old or over) and a Junior Section.  All such sections will be run under the auspices of the Committee of the Carrbridge Golf Club (1980), with each section having as their organiser, a full member of the Committee.  All financial affairs shall be handled through the Carrbridge Golf Club (1980) accounts, except where specific approval has been given by the Committee.
